寵物環宇香港有限公司（"Pets Global"、"我們"或"本公司"）透過官方網站 https://www.pets-global.hk/（「本網站」）及Pets Global軟件／流動應用程式（包括 Relay）（「本應用程式」）營運線上零售商店，為用戶提供透過本網站或本應用程式瀏覽、選購及配送寵物食品或非食品類商品之線上服務（統稱「本服務」）。

Pets Global Hong Kong Limited ("Pets Global", "we", "our" or "us") operates an online retail store on https://www.pets-global.hk/ ("Site") and through Pets Global software or mobile applications (including Relay) ("App"), offering services for the online browsing, purchasing and delivery of grocery and non-grocery products through the use of the Site or App ("Services").

We provide access to the Site, App and Services subject to your acceptance of these Terms of Use. By connecting, accessing, browsing or purchasing products at the Site or App, you agree to be bound by and to accept, without qualification or condition, the Terms of Use for our services rendered to you through the Site or App. Please read these Terms of Use carefully before using the Site or App. If you do not agree to our Terms of Use, please do not use the Site or App. By accepting these Terms of Use, you agree that these Terms of Use and Privacy Policy https://www.pets-global.hk/privacy-policy will apply whenever you use the Site, App or Services. We reserve the right to amend, vary and change the Terms of Use at our discretion at any time without any notice to you by posting the amended terms on the Site or App. Your continued use of the Site or App following any changes shall be construed as your acceptance of any such amendments, variations and changes. 1. 網站及／或應用程式之使用

1. Use of the Site and/or App

 

1.1 在閣下遵守本使用條款之前提下，本公司授予閣下非獨家、不可轉授之使用許可，僅限為個人非商業目的而使用本網站及／或應用程式，並存取及使用透過該等平台提供之服務。

1.1. Subject to your compliance with these Terms of Use, we grant you a non-exclusive and non-transferable licence to use the Site and/or App, and access and use the Services available via the Site and/or App, solely for your personal and non-commercial purposes.

 

1.2 本網站、應用程式及服務僅限於香港特別行政區境內使用。本公司不保證服務或網站／應用程式內任何文本、圖形、文件、照片、圖像、音樂、軟件、音訊、視訊、資訊、數位檔案或其他材料（統稱「內容」）適合或可供閣下所在地區使用。若閣下選擇於香港境外任何地區存取本網站或應用程式，須自行確保遵守當地適用法律（倘該等法律具管轄效力）。

1.2. The Site, App and Services are meant for use from a Hong Kong S.A.R. location only. We do not represent or warrant that the Services or any text, graphics, documents, photographs, images, music, software, audio, video, information, digital or electronic files or other materials on the Site or App ("Content") are appropriate or available for use in your location. If you choose to access the Site or App from anywhere outside Hong Kong, you will be responsible for compliance with local laws, if and to the extent local laws are applicable.

 

1.3 閣下承諾不得：

1.3.1 入侵、干擾、破壞、停用、施加過度網站負荷或以其他方式損害本網站、應用程式、服務或本公司伺服器之正常運作；或

1.3.1. hack into, interfere with, disrupt, disable, over-burden or otherwise impair the proper working of the Site, App, Services or our servers; or

 

1.3.2 在未獲本公司事先書面同意下，複製、展示或以任何方式提供本網站、應用程式或服務之存取權限。

1.3.2. reproduce, display, or otherwise provide access to the Site, App or Services without our prior written consent.

 

1.4 除法律許可或獲本公司明示書面授權外，閣下嚴禁：

1.4. Unless otherwise allowed by law or with our express written permission, you shall not:

 

1.4.1 對透過本網站或應用程式存取之任何軟件、產品或程序進行反編譯、反向工程或拆卸；

1.4.1. decompile, reverse engineer or disassemble any software or other products or processes accessible through the Site or App;

 

1.4.2 植入任何代碼或產品，或以任何方式操控本網站/應用程式內容而影響其正常運作（包括但不限於：阻斷服務攻擊、欺騙攻擊、會話劫持、竊聽、篡改、濫發訊息）；或

1.4.2. insert any code or product or manipulate the content of the Site or App in any way that affects the proper working of the Site or App (including but not limited to any denial-of-service attacks, spoof attacks, session hacking, sniffing, tampering, spamming); or

 

1.4.3 從事任何數據挖掘、數據收集或數據提取行為。

1.4.3. engage in any data mining, data gathering or extraction.

 

2. 賬戶註冊

2. Registering for an Account

 

2.1 閣下須透過設定用戶名稱及密碼（合稱「登入資料」）向本公司註冊賬戶（「本賬戶」），方可使用本網站及／或應用程式之特定功能（包括但不限於下達訂單）。

2.1. You are required to register for an account with us ("Account") by choosing a user name and password (collectively, "Log-in Details") to access certain features of the Site and/or App, including but not limited to placing an order on the Site and/or App.

 

2.2 閣下確認並保證：註冊過程中所提供之一切資料（及其後任何補充資料）均屬準確、最新且完整。倘發現任何資料不準確或不完整，本公司保留全權酌情決定暫停或終止本賬戶，或採取任何必要措施之權利。

2.2. You acknowledge and warrant that all information you provide during the registration process (and any information provided thereafter) is accurate, current and complete. We reserve the right to suspend or terminate your Account or to take any action which we deem necessary in our sole discretion if any information provided is found to be inaccurate or incomplete.

 

2.3 閣下必須即時更新註冊資料之任何變更，以確保本公司能有效與閣下通訊。

2.3. You must inform us immediately of any changes to the information that you provided when registering by updating your personal details in order that we may communicate with you effectively.

 

2.4 無論是否經閣下授權，閣下須獨力承擔透過本賬戶進行之所有活動、操作及通訊所引致之後果。為免存疑，本公司概不承擔因未獲授權使用本賬戶而產生或相關之任何損失、損害、費用、開支或法律責任。

2.4. You are solely responsible for any activities or actions conducted and all communications transmitted through your Account, regardless of whether you have authorized such activities, actions or communications. For the avoidance of doubt, we will not be liable for any loss, damage, costs, expenses, or liabilities arising out of or in connection with any unauthorized use of your Account.

 

2.5 每個家庭或配送地址僅可註冊一個（1）賬戶，該住址內所有成員及／或共用該配送地址之人士均為該賬戶之授權使用者。本公司可全權酌情允許同一配送地址註冊多於一個（1）賬戶。

2.5. Each household or delivery address may only register one (1) Account, with each member of the household and/or every person sharing the delivery address being an Authorized User of that Account. At our sole discretion, we may allow more than one (1) Account to be registered for the same delivery address.

 

2.6 倘發現同一配送地址註冊多於一個（1）賬戶，或存在任何未獲授權使用賬戶之情況，本公司可全權酌情：

2.6.1 合併、暫停及／或終止有關賬戶；

2.6.2 取消透過該等賬戶下達之所有訂單；

2.6.3 取消或作廢該等賬戶已獲或使用之積分、折扣、折扣碼（定義見第7.4條）或回贈（定義見第6.2條），並按貨品原價收取費用；及／或

2.6.4 禁止該等賬戶或人士參與任何推廣活動（定義見第7.1條）。

2.6. If we discover that more than one (1) Account has been registered for the same delivery address or that there has been any unauthorized use of any Account, we may at our sole discretion:

2.6.1. merge, suspend and/or terminate such Account(s);

2.6.2. cancel any orders placed through such Account(s);

2.6.3. cancel or invalidate any credits, discounts, Discount Codes (as defined below at Clause 7.4 or Rebates (defined below at Clause 6.2) awarded to or used by such Account(s) and charge full price for items purchased; and/or

2.6.4. prohibit such Account(s) or persons from participating in any Promotions (as defined in Clause 7.1).

 

3. 暫停服務與終止賬戶

3. Suspension and Termination

 

3.1 本公司保留絕對酌情決定權，在無須說明理由、不另行通知且不承擔任何責任之前提下：

 (a) 限制、限定、暫停、停用／刪除或終止本服務及閣下之帳戶；

 (b) 禁止存取本網站、應用程式或服務；及

 (c) 移除任何內容。

3.1. We reserve the right, in our sole and absolute discretion, to restrict, limit, suspend, deactivate, delete or terminate our Services and your Account, prohibit access to the Site, App or Services, or remove any Content without assigning any reason and without notice or liability.

 

3.2 在不影響前述概括性權力下，閣下同意本公司於下列情況可即時終止帳戶及存取權限（無須預先通知）：

3.2.1 違反、涉嫌違反或意圖違反本使用條款、任何附屬條款、指引、協議或適用之私隱政策；

3.2.2 應任何主管當局（包括但不限於香港警務處、海關或個人資料私隱專員公署）要求；

3.2.3 依閣下終止帳戶之請求；

3.2.4 濫用本網站或應用程式（包括但不限於任何欺詐性、不誠實或非法使用）；

3.2.5 未支付本網站或應用程式產生之任何費用或收費；或

3.2.6 經本公司絕對酌情認定存在其他合理因由（例如違反《商品說明條例》第362章）。

3.2. Without prejudice to the generality of the above, you agree that we may without prior notice immediately terminate your account and terminate your access to the Site or App under the following circumstances:

3.2.1. breaches or violations or purported breaches or violations of these Terms of Use and any other terms and conditions, incorporated guidelines, agreements or privacy policies which may be applicable;

3.2.2. upon the request of any competent authority;

3.2.3. upon your request to terminate your account;

3.2.4. misuse or abuse of the Site or App, including, without limitation any fraudulent, dishonest or illegal use of the Site or App;.

3.2.5. failure to pay any fees or charges on the Site or App to us; or

3.2.6. any other reasonable cause as may be determined by us in our sole discretion.

 

4. 商品定價與資訊

4. Item Pricing and Information

 

4.1 除另有註明外，本網站及應用程式所示價格均以港幣為單位。

4.1. Unless otherwise stated, all prices on our Site and App are quoted in Hong Kong Dollars.

 

4.2 若商品價格按重量計算，本公司將於結賬時根據標示重量及當時價格提供預估價格（Estimated Price），該商品之實際重量與價格（Actual Price）將於交付時確定並告知閣下。

4.2. Where the price of a product is determined by its weight, we will provide an estimated price of the item ("Estimated Price") based on its indicated weight and the prevailing rates at the point of checkout, with the actual weight and price ("Actual Price") of such item to be provided to you at point of delivery.

 

4.3 若實際價格高於預估價格，本公司保留權利補收差額；若預估價格高於實際價格，本公司將退還差額。

4.3. In the event that the Actual Price exceeds the Estimated Price, we reserve all rights to charge you the difference between the Actual Price and the Estimated Price. In the event that the Estimated Price exceeds the Actual Price, we will refund you the difference between the Estimated Price and the Actual Price.

 

4.4 所有訂單均受庫存情況限制，如商品缺貨，本公司保留權利取消、修改、限制或拒絕閣下訂單或訂購數量。此等權利之行使不須通知、不承擔責任且不予補償。

4.4. All orders are subject to stock availability and we reserve the right to cancel, amend, limit or reject your order or the quantity of a product that you have ordered if the product is unavailable. We reserve the right to do so without liability or compensation and without notice.

 

4.5 本公司保留隨時更改價格及撤回任何促銷折扣或優惠之權利，無須另行通知。

4.5. We reserve all rights to change such prices or withdraw any promotional discounts or offers at any time without notice.

 

4.6 對於本網站或應用程式之定價、商品或促銷資訊錯誤，本公司概不承擔責任。若交付商品與描述不符，閣下唯一補救方式為在未使用狀態下退貨。

4.6. We are not liable for any errors in the pricing, product or promotional information listed on our Site or App. If a product offered by us is not as described, your sole remedy is to return it in an unused condition.

 

5. 推薦獎勵計劃

5. Reward Programme

 

5.1 當您成功推薦朋友（下稱「被推薦人」）使用本平台，即可透過獎勵計劃賺取回贈，用於抵扣日後於網站或應用程式內的消費。

5.1. Our reward programme allows you to earn rebates that can be used to deduct from your future spending on our Site or App if you refer your friends ("Referred Friends") to us.

 

5.2 您可享有被推薦人每筆訂單消費金額 1% 的港幣（HK$）回贈（下稱「獎賞」），惟須同時符合以下條件：

5.2.1. 持有本網站的有效帳戶；

5.2.2. 具香港公民、永久居民身份，或於香港工作/留學的人士；

5.2.3. 透過專屬推薦連結成功引薦被推薦人註冊有效 Pets Global 帳戶；

5.2.4.被推薦人需滿足：

 ▪ 未曾註冊或持有本網站任何帳戶授權

 ▪ 經您的推薦連結於本網站完成合規帳戶註冊

 ▪ 於本網站/應用程式成功下單並完成配送

5.2. You will earn a one percent (1%) rebate ("Rebate") on every Hong Kong Dollar (HK$) spent by your Referred Friends on their purchases if:

5.2.1. you have an Account with us;

5.2.2. you are a Hong Kong Citizen, Permanent Resident or a foreigner working or studying in Hong Kong;

5.2.3. you share your referral link to create a valid Pets Global account with your Referred Friends; and

5.2.4. any of your Referred Friends, whose does not already have an Account or is not already an Authorized User of an Account, clicks on your referral link to create a valid Account that complies with these Terms of Use, subsequently makes an order on the Site or App, and the delivery of that order is completed successfully.

 

5.3 符合上述 5.2 條款者，獎賞將自動存入帳戶「我的電子錢包」。結賬時可直接從購物車總金額中抵扣已存獎賞。

5.3. Provided that you satisfy the conditions in Clause 5.2 above, you will be automatically credited with the Rebate, which will automatically appear in the My eWallet section of your Account page. You can deduct the credited Rebate from the total price of the items in your Shopping Cart at the checkout page.

 

5.4 獎賞僅限透過本平台服務兌換使用。

5.4. The Rebate may only be redeemed via the Services on this Site or App.

 

5.5 每筆獎賞自被推薦人消費日起計三個月後自動失效。

5.5. Each Rebate credited into your account will automatically expire three (3) months from the date of your Referred Friend’s purchase.

 

5.6 獎賞不可轉讓、不可兌換現金或優惠券。

5.6. Rebates may not be transferred or exchanged for cash or coupons.

 

5.7 禁止透過重複註冊帳戶套取獎賞。

5.7. Rebates may not be earned by creating multiple Accounts.

 

5.8 本公司保留單方面權利，可隨時暫停或終止以獎勵計劃免費購物及計劃參與資格，無需說明理由。

5.8. We may suspend or terminate the Shop for Free reward program or your ability to participate in the program at any time at our sole discretion without providing a reason for the suspension or termination.

 

5.9 若發現任何濫用、詐騙或違反條款之推薦行為，本公司有權：審查相關活動、凍結帳戶、撤銷或調整獎賞，且毋須事先通知。

5.9. We reserve all rights to review and investigate all referral activities, suspend any Account or remove or modify any Rebate if we notice any activity that we believe is abusive, fraudulent, or in violation of these Terms of Use.

 

6. 推廣活動與折扣碼

6. Promotions and Discount Codes

 

6.1 我們可能於本網站舉辦特賣、清倉、比賽、問卷調查等活動（統稱「推廣活動」）。該等活動須遵守網站/應用程式上另行公佈的附加條款，該等條款視作已納入本使用條款。

6.1. We may run sales, clearances, contests, surveys and other promotions (collectively, "Promotions"). Please note that such Promotions are subject to additional terms and conditions which may be found on the Site or App and are incorporated by reference into these Terms of Use.

 

6.2 本公司保留隨時中止任何推廣活動或特別優惠之權利，無須事先通知亦不承擔責任。

6.2. We reserve the right to discontinue any Promotion or other privileges at any time without notice or liability.

 

6.3 推廣活動僅於指定時段及存貨供應期內有效。明確提示：缺貨之推廣商品恕不提供現金或替代補償。

6.3. Promotions are only valid for the time period specified by us and only while stocks last. For the avoidance of doubt, we will not offer any cash or compensation for promotion items which are no longer in stock.

 

6.4 我們或向您提供積分、禮券、優惠券及折扣碼（統稱「折扣碼」），使用條款如下：

6.4.1. 折扣碼僅限結賬時於網站/應用程式即時輸入生效，訂單確認後恕不補發

6.4.2. 每張訂單僅限使用一 (1) 個折扣碼

6.4.3. 每組折扣碼限同一住址/收貨地址使用一 (1) 次

6.4.4. 折扣碼僅於指定有效期內適用

6.4.5. 使用折扣碼或需滿足最低消費金額要求

6.4.6. 除非特別註明，折扣碼不可與其他推廣活動同時使用

6.4.7. 折扣碼不可兌現、轉售、轉讓或與非授權用戶共享（禮品券除外）

6.4.8. 儘管有前述條款，我們的禮品券可以由您購買並贈送給第三方。

6.4.9. 您不得更改、篡改或分發任何折扣代碼。

6.4.10. 我們可自行決定驗證任何折扣代碼的有效性，若我們認為該折扣代碼的使用違反了這些使用條款，我們可取消該折扣代碼並對所購買的商品收取全價。如果您在我們取消已應用的折扣代碼後選擇取消訂單，對於該訂單的任何支付將退還給您：(a) 到您的電子錢包；或 (b) 在您要求下，退還到您的信用卡，但需支付 HK$120.00 的手續費。

6.4.11. 我們不承擔更換任何折扣代碼的責任。

6.4.12. 我們保留隨時修改這些條款或施加其他適用於折扣代碼的條款和條件的權利，並會在網站或應用程式上發布修改後的條款和條件，這些條款和條件將被納入這些使用條款中。

6.4. We may offer you credits, vouchers, coupons and codes ("Discount Codes") to receive a specific discount from us. The following terms shall apply to the use of such Discount Codes:

6.4.1. Discount Codes are only valid if they are applied upon checkout on our Site or App and cannot be applied after that order has been placed.

6.4.2. Only one (1) Discount Code can be used for any one (1) order at any one (1) time.

6.4.3. Each Discount Code may only be used once per household/delivery address.

6.4.4. Each Discount Code is only valid during the time period specified by us.

6.4.5. You may be required to spend a minimum sum before the use of a Discount Code is permitted.

6.4.6. Discount Codes cannot be used in conjunction with any other Promotion, unless otherwise stated.

6.4.7. Discount Codes cannot be refunded, redeemed or exchanged for cash, or resold, transferred or shared with anyone other than an Authorized User.

6.4.8. Notwithstanding the preceding clause, our gift vouchers may be purchased by you and gifted to third parties.

6.4.9. You are not allowed to alter, tamper with or distribute any Discount Code.

6.4.10. We may, at our sole discretion, verify the validity of any Discount Code, cancel any Discount Code applied and charge full price for items purchased under that Discount Code if in our opinion that Discount Code appears to have been used in contravention of these Terms of Use. If you choose to cancel your order subsequent to our cancelling of the Discount Code applied, any payment made for such order shall be refunded to you: (a) to your eWallet; or (b) upon your request, to your credit card, subject to payment of a HK$120.00 administration fee.

6.4.11. We are not liable to replace any Discount Code

6.4.12. We reserve the right to amend these terms or impose such other terms and conditions to the use of Discount Codes as we deem appropriate by posting the varied terms and conditions on the Site or App and such terms and conditions are hereby incorporated by reference into these Terms of Use.

 

6.5. 作為推廣活動一部分而提供之免費禮品，均嚴格遵循「先到先得」及「送完即止」之原則。我們不會就該等免費禮品提供任何現金或信用額替代方案。

6.5. Free gifts offered as part of a Promotion are offered strictly on a "first come first serve" and "while stocks last" basis. We will not offer any cash or credit in lieu of such free gifts. 

 

6.6. 本公司就所有與推廣活動、折扣優惠碼及其他優惠相關事宜所作之決定均為最終決定，並具約束力。

6.6. Our decision on all matters relating to Promotions or Discount Codes and other privileges is final and binding.

 

7. 訂單與付款

7. Orders & Payment

 

7.1. 所有訂單必須以港幣（HKD）透過萬事達卡（MasterCard）或Visa信用卡支付。

7.1. Payment for all orders must be made in Hong Kong Dollars through MasterCard, or Visa.

 

7.2. 閣下之訂單僅為向本公司發出之購買要約，並須待本公司接納方可生效。除非及直至本公司將閣下選購之產品付運，否則雙方之間不存在任何合約關係。在此之前，本公司保留權利於任何時間全部或部分取消、修改、限制或拒絕閣下之訂單，或拒絕向閣下供應產品，而無須說明理由，亦無須承擔任何法律責任或作出任何補償。若任何產品之訂單遭本公司拒絕或取消，就該訂單已支付之款項將根據本公司現行退款政策予以撤銷或退還。當閣下之訂單付運時，雙方之間即構成具約束力的合約。除非閣下根據下文第7.3條取消訂單，否則任何由閣下提出之訂單取消將須支付HK$60.00行政手續費。為免存疑，對訂單付款之任何處理行為本身並不構成本公司接納該訂單。

7.2. Your order is an offer to buy from us and is subject to our acceptance. There will be no contract of any kind between you and us unless and until we dispatch the selected products to you. At any point up until then, we may, without liability or compensation, cancel, amend, limit or reject your order in whole or in part or otherwise decline to supply the products to you without giving any reason, provided that where an order for any product is rejected or cancelled by us, any payment made for such order shall be reversed or refunded to you in accordance with our prevailing refund policy. At the moment that your orders are dispatched, a contract will be formed between you and us. Unless your order is cancelled in accordance with Clause 7.3 below, you will be charged an administration fee of HK$60.00 for the cancellation of any order by you. For the avoidance of doubt, any processing of payment for an order shall not in itself constitute acceptance of the order by us.

 

7.3. 若因任何錯誤而導致任何產品於網站或應用程式上標示之價格低於正確價格，本公司概無義務按該錯誤價格向閣下供應有關產品。在此情況下，本公司將通知閣下有關錯誤定價，並提供選擇取消或以正確價格確認該產品訂單。如閣下確認訂單，即授權本公司向閣下收取所有額外款項。若閣下選擇取消錯誤定價產品之訂單，本公司將根據現行退款政策撤銷或退還該產品之款項。若本公司自發現錯誤定價起三(3)天內未能與閣下取得聯絡，本公司將視閣下就該錯誤定價產品之訂單已被取消。

7.3. If, by mistake, we have under-priced any item, we will not be liable to supply that item to you at the stated price on the Site or App. In such an event, we will notify you about the under-pricing and provide you with the option of cancelling or confirming your order of such item at the correct price. By confirming your order, you authorise us to charge all additional amounts to you. If you choose to cancel your order of the under-priced item, we will reverse or refund payment for such item in accordance with our prevailing refund policy. If we are unable to contact you within three (3) days from the time we first discover the mispricing, we will treat your order in respect of the under-priced item as cancelled.

 

7.4. 本公司不會處理涉及不準確信用卡資料、或信用卡已過期或超出信用額度之訂單。在此情況下，本公司將盡力與閣下聯絡。然而，若該類訂單獲處理，本公司保留權利追收款項，並就任何未付款訂單收取追繳費用。

7.4. We will not process orders that involve inaccurate credit card details or credit cards that are expired or over-the-limit. We will endeavour to contact you in such an event. However, if such an order is processed, we reserve the right to collect payment and levy a collections fee for any unpaid orders.

 

7.5. 當有關費用或收費到期，或須支付重新交付費用時，閣下同意本公司可直接從閣下賬戶下已存錄之信用卡扣收該等款項。拒絕支付該等費用可能導致閣下使用服務之權限被暫停或終止。閣下須負責並承擔本公司為追收任何未付金額而產生之一切費用，包括按全面彌償基準計算之法律費用及追收成本。

7.5. When such fees or charges are due or if a redelivery fee is imposed, you agree that we may charge such amounts directly to the credit card saved under your Account. A refusal to pay such fees might result in a suspension or termination of your access to the Services. You shall be responsible and liable for any fees, including any legal fees and collection costs (on a full indemnity basis), that we may incur in our efforts to collect any unpaid sums from you.
